Terms of Service

Effective Date: 19 April 2026

Welcome to TradesField, a workforce management and onboarding platform operated by TradesField Pty Ltd (ABN 41 686 483 536), based in Australia. These Terms of Service ("ToS") govern your use of our website, platform, and services (collectively, the "Services"). By accessing or using our Services, you agree to be bound by these ToS. If you do not agree, please do not use our Services.

1. About TradesField

TradesField is a Software-as-a-Service (SaaS) platform designed to help businesses onboard their workforce quickly and detect potential issues efficiently. Vendors upload their information once, and TradesField verifies details such as licences, ABNs, and bank accounts, then integrates approved records into your enterprise resource planning (ERP) system to streamline project initiation and maintain compliance. These ToS apply to both Client Users (businesses or their staff using the platform) and Vendor Users (suppliers, subcontractors, or vendors who either are invited by a Client User or sign up directly on the TradesField platform), collectively referred to as "Users."

2. Acceptance of Terms

  • How You Agree: You accept these ToS by:
    • Clicking "I Agree" during signup or onboarding (clickwrap agreement).
    • Paying an invoice referencing these ToS (for accounts created on your behalf).
    • Accessing or using our Services.
    • Making a submission via the Vendor Portal.
  • Availability: These ToS are accessible on our website footer (www.tradesfield.com) and during signup or onboarding. You may download or save a copy for your records.
  • Updates: We may update these ToS to reflect changes in our Services or legal requirements. We will notify you of changes when you next access our platform. Continued use of the Services constitutes acceptance of the updated ToS.

3. User Types and Responsibilities

3.1 Client Users

  • Definition: Client Users are staff or representatives of businesses using TradesField to onboard and manage their workforce or vendors.
  • Account Creation: Accounts may be created by TradesField on your behalf, through self-onboarding, or via an invitation from another Client User.
  • Responsibilities:
    • Provide accurate and up-to-date information during onboarding.
    • Ensure you have obtained consent from Vendor Users before sharing their information (e.g., email addresses) with us.
    • Pay subscription and other fees on time to maintain access.
    • Verify the compliance status of your vendors independently, as TradesField is not liable for inaccuracies in data (see Section 9).
    • Do not misuse the platform to reduce usage artificially or extract data for competitive purposes, including developing or associating with a competing platform.

3.2 Vendor Users

  • Definition: Vendor Users are suppliers, subcontractors, or vendors who either (a) are invited by a Client User to submit information for that Client User's organisation, or (b) sign up directly on the TradesField platform and opt into the TradesField Network.
  • Account Creation: Accounts may be created via an email invitation from a Client User (linked to your email address) or through direct signup on the TradesField platform, subject to the Network opt-in described in Section 4A.
  • Responsibilities:
    • Provide accurate and truthful information during onboarding and updates.
    • Consent to TradesField sharing your information with Client Users within their organisation or necessary third-party providers to provide our Services.
    • Consent to TradesField contacting you regarding onboarding or issues with your information.
    • Acknowledge the TradesField Network opt-in mechanics described in Section 4A, including that your full record (including insurance certificates, licences, and bank details) is disclosed to a specific Client User only after you approve that Client User's request to access it.
    • Report any suspected impersonation of your business on the TradesField Network to [email protected], so that TradesField can investigate and, if appropriate, suspend the impersonating profile.
    • Do not misrepresent your company or submit fraudulent information.
    • Do not misuse the platform or extract data for competitive purposes.

4. Use of Services

  • Permitted Use: You may use TradesField to onboard vendors, verify information, and integrate data with your ERP system, subject to these ToS.
  • Prohibited Conduct: You agree not to:
    • Engage in illegal activities, harassment, or abusive behaviour on the platform.
    • Attempt to extract data for competitive services or build a competing platform.
    • Share login credentials or allow unauthorised access to your account.
    • Interfere with or compromise the platform’s security or functionality.
    • Violate third-party intellectual property rights or share data without consent.
  • Consent for Vendor Contact: By adding Vendor Users to our platform, Client Users consent to TradesField contacting those vendors for onboarding or issues with their information.
  • Third-Party Integrations: By using our integrations with external providers (e.g., ASIC, ABR, trade licence regulators like QBCC), you consent to TradesField importing relevant vendor information (excluding financial data) to provide our Services.

4A. TradesField Network

  • Overview: The TradesField Network is an optional layer of the Services that allows Vendor Users to make their verified business information discoverable to Client Users on the TradesField platform, and to share a full verified record with specific Client Users they have approved. Network participation is separate from, and additional to, the default bilateral relationship between an invited Vendor User and the inviting Client User.
  • Entry Paths: A Vendor User joins the Network through one of two paths:
    • Invited opt-in: After completing a submission at the request of a Client User, the Vendor User is given the option to opt into the Network before finalising their submission.
    • Direct signup: A Vendor User creates a TradesField account directly on the platform, without having been invited by a Client User, and opts into the Network during signup.
  • Two Disclosure Layers: Network information is shared in two layers:
    • Discovery profile: A limited set of business identity information (for example, trading name, ABN, trade categories, and general service areas) visible to verified Network participants, so that Client Users can find and request access to vendors relevant to their projects.
    • Full record: All other vendor information — including insurance certificates, licence records, supporting documents, and bank account details — is disclosed to a specific Client User only after the Vendor User approves that Client User's access request for that specific vendor record.
  • Approval Mechanics: A Client User may request access to a Vendor User's full record through the Network. When a Client User invites a Network vendor to participate in their project, that invitation is deemed to be a request for full-record access. The Vendor User approves or declines each request per Client User. No full-record disclosure occurs without the Vendor User's approval.
  • Updates Propagate on Approved Relationships: Once a Vendor User approves a Client User's access to their full record, future updates to that record (for example, a renewed insurance certificate, an updated bank account, or an updated licence number) automatically flow to that Client User until approval is withdrawn by the Vendor User.
  • Bank Details Disclosure: Approving a Client User's full-record access includes disclosure of BSB and bank account number for payment purposes. This is made clear to the Vendor User at the point of approval.
  • Pre-existing Bilateral Invitations: A Vendor User's Network membership (or withdrawal from the Network) does not affect the bilateral relationship with any Client User who invited them directly outside the Network. Information shared in response to a direct invitation remains governed by Sections 3, 7, and 8 of these ToS and is not dependent on Network status.
  • Withdrawal from the Network: A Vendor User may withdraw from the Network at any time. Withdrawal takes effect across three layers: (a) the discovery profile is removed so the Vendor User is no longer visible to new Client Users; (b) no new access requests can be received; and (c) future updates to the Vendor User's full record will no longer flow to Client Users previously approved through the Network. Withdrawal does not retract or require deletion of information already legitimately disclosed to a Client User prior to withdrawal. Previously approved Client Users retain the copy of the record as it stood at the time of the most recent approved update, subject to their own retention obligations and TradesField's standard retention policy described in the Privacy Policy.
  • Auto-Approve: A Vendor User may optionally opt into an "auto-approve" toggle, which automatically approves new Client User access requests on their behalf. Auto-approve is separate from the core Network opt-in, is off by default, and may be revoked at any time from the vendor portal.
  • Impersonation Reporting: If a Vendor User believes their business is being impersonated on the Network by another party, they should report it to [email protected]. TradesField may suspend a suspect profile pending verification.
  • No Open-Internet Publication: The Network is limited to verified TradesField Client Users and Vendor Users. Network information is not published to the open internet and is not indexed by public search engines.
  • Accuracy Disclaimer: While TradesField runs verification checks on information submitted to the platform, we do not warrant or represent that information displayed on the Network is current, complete, or accurate at any given moment. Client Users must independently verify Vendor User information before relying on it, consistent with Section 9.

5. Subscriptions and Payments

  • Subscription Plans: TradesField offers monthly and annual subscriptions for Client Users, with setup fees and additional costs for certain services.
  • Vendor User Access: Access to the TradesField platform and the TradesField Network is free for Vendor Users. TradesField reserves the right to introduce paid vendor-side features in the future, subject to notice.
  • Payment Processing: Payments are processed securely via Stripe. To update payment details or resolve disputes, contact your account representative or [email protected].
  • Cancellation: To cancel your subscription, contact your account representative or [email protected] before your next renewal date.
  • Refunds: Refund requests are reviewed on a case-by-case basis. Contact [email protected] before your next billing period.
  • Non-Payment or Chargebacks: If payments are not made or are charged back, we may suspend or terminate your account and invoice you for related costs.

6. Goods and Services Tax (GST)

  • GST Exclusion: All amounts listed on our website (www.tradesfield.com) or quoted in discussions exclude GST, unless otherwise stated. GST at the prevailing rate (currently 10%) will be added to all applicable fees and charges, in accordance with the A New Tax System (Goods and Services Tax) Act 1999 (Cth).
  • Tax Invoices: TradesField will provide valid tax invoices for all payments, including GST, as required by Australian tax law.
  • Responsibility: Client Users are responsible for paying the GST component of any fees. For any GST-related queries, contact [email protected].

7. Intellectual Property

  • TradesField’s IP: All content on the platform, including logos, software, and website design, is owned by TradesField Pty Ltd or its licensors. You may not use, copy, or distribute our intellectual property without permission.
  • User-Generated Content: By uploading information (e.g., vendor details, documents), you grant TradesField a non-exclusive, royalty-free licence to use, store, and share this content with Client Users within your organisation, verified TradesField Network participants you have approved (where you have opted into the TradesField Network, per Section 4A), and necessary third-party providers, in each case to provide our Services. We will not share your content with competitors. Where possible, data shared with third parties (e.g., for verification) is de-identified (e.g., sharing only ABNs).
  • Third-Party IP: You must ensure any data you share does not infringe third-party intellectual property rights and that you have obtained necessary consents.

8. Data Sharing and Privacy

  • Vendor Information: TradesField may share Vendor User information (e.g., ABN, verification details) with Client Users within their organisation or third-party providers (e.g., for verification with trade licence regulators like QBCC) to provide our Services. We only share what is necessary and, where possible, de-identify data.
  • TradesField Network: Where a Vendor User has opted into the TradesField Network, additional sharing operates in two layers — a discovery profile visible to verified Network participants, and a full record disclosed only to specific Client Users the Vendor User has approved. See Section 4A for the full mechanics, including withdrawal and approval handling.
  • Privacy Policy: Our handling of personal information is governed by our Privacy Policy, available at www.tradesfield.com/privacy. By using our Services, you agree to the Privacy Policy.
  • Data Security: All data is encrypted at rest and in transit. In the event of a security breach, we will notify affected Users and relevant authorities within 72 hours, as required by the Privacy Act 1988 (Cth). For concerns, contact [email protected].

9. Liability and Disclaimers

  • No Professional Advice: TradesField does not provide legal, accounting, or other professional services advice. Our Services are intended to assist with workforce onboarding and issue detection, not to offer professional compliance advice.
  • Third-Party Data: We do not warrant or represent the accuracy, currency, reliability, or completeness of data provided by third-party platforms (e.g., ASIC, ABR, trade licence regulators like QBCC) or integrated systems. We do not guarantee the timeliness or accuracy of searches conducted by government agencies or third-party providers.
  • Compliance Status: TradesField verifies vendor information against external sources but does not guarantee the accuracy or completeness of this data. Client Users are responsible for independently verifying vendor compliance. TradesField is not liable for inaccuracies, misrepresentations, or undetected issues.
  • Platform Performance: We aim for a 99% system availability SLA. In the event of downtime exceeding this, we will provide a credit proportional to the downtime for your billing period. We do not warrant that the platform will be free from defects, data corruption, software failures, or performance degradation caused by viruses, third-party hardware, or internet networks.
  • Data Security: While we take reasonable steps to secure data, we do not warrant that data hosted on our servers is secure, accessible without interruption, or free from defects, viruses, loss, or corruption. You are responsible for securing your email and password to prevent account compromise.
  • Third-Party Integrations: We are not liable for issues caused by third-party services (e.g., providers removing access or providing inaccurate data). If a paid add-on integration is affected, we will refund the remainder of the billing term.
  • User Disputes: TradesField is not responsible for communications, transactions, or disputes between Client Users and Vendor Users.
  • Network Information: Information displayed on the TradesField Network — whether in the discovery layer or in a full record disclosed after approval — is supplied by Vendor Users and verified against source registries at the time of the check. We do not warrant that any item of Network information is current, complete, or accurate at any given moment. Network participants, and Client Users who access Network-disclosed records, must independently verify the information before relying on it.
  • ACL Compliance: Nothing in these ToS excludes or limits your rights under the Australian Consumer Law (ACL), including consumer guarantees for services provided with due care and skill.

10. Termination and Suspension

  • Grounds for Termination: We may suspend or terminate your access without warning for:
    • Non-payment (after providing a warning).
    • Violation of these ToS.
    • Fraudulent activity, spamming, or attempts to compromise our system.
  • Appeals: If you believe a suspension or termination is incorrect, contact [email protected] to appeal.
  • Effect of Termination: Upon termination, you will lose access to the Services, and we may delete your data, subject to our Privacy Policy.
  • Effect of Termination on the TradesField Network: If a Vendor User's account is terminated or they withdraw from the Network, the discovery profile is removed, no new Client Users can discover the vendor, and future updates to the vendor's record no longer flow to any previously approved Client User. Client Users previously approved through the Network retain the copy of the record as it stood at the time of the most recent approved update, subject to their own retention obligations and TradesField's standard retention policy described in the Privacy Policy. Termination does not retract information already legitimately disclosed.

11. Dispute Resolution

  • Contact Us: For complaints or disputes, contact your account representative or [email protected]. We aim to resolve issues transparently and efficiently.
  • Jurisdiction: Any disputes not resolved informally will be governed by the laws of Queensland, Australia, and subject to the exclusive jurisdiction of the courts of Queensland.

12. Third-Party Services

  • Providers: TradesField uses third-party services, including Stripe (payment processing), AWS and Digital Ocean (server hosting), PostHog (analytics), and verification providers (e.g., ASIC, ABR, trade licence regulators like QBCC). These services are used to provide and improve our Services.
  • Vendor Invitations: Client Users may invite third parties (e.g., vendors or subcontractors) to join the platform as Vendor Users, subject to these ToS.

13. Force Majeure

TradesField is not liable for delays or failures in providing the Services due to events beyond our reasonable control, such as natural disasters, pandemics, or third-party service outages.

14. Feedback and Reviews

We may request feedback or reviews from Client Users or Vendor Users. By providing feedback, you grant TradesField a non-exclusive, royalty-free licence to use and share it publicly (e.g., on our website or marketing materials).

15. Use of User Identity in Marketing

  • Licence Grant: You grant TradesField a non-exclusive, royalty-free, worldwide licence to use your organisation's name, trading name, logo, and brand marks to identify your organisation as a TradesField customer, Vendor User, or Network participant (as applicable). This licence covers use in TradesField's marketing and promotional material, including our website (such as customer logo walls, vendor directories, and case study pages), sales and pitch materials, proposals, social media, online advertising, investor updates, and press releases.
  • Scope: This licence is limited to factually identifying your organisation as a TradesField customer, Vendor User, or Network participant. It does not extend to attributing specific quotes, testimonials, endorsements, or case study content to your organisation without your separate written consent, which an authorised representative may give by email to [email protected].
  • Brand Guidelines: Where you have provided us with brand usage guidelines, we will use reasonable efforts to comply with them.
  • Opt-Out: An authorised representative of your organisation may opt out of, or request removal from, TradesField's marketing material at any time by emailing [email protected]. We will action removal from our website and forward-looking marketing materials within a reasonable period, although we are not obliged to recall or retrieve materials already printed, distributed, or published by third parties.
  • Individuals and Sole Traders: Where you are an individual or a sole trader whose business name incorporates your personal name, this Section 15 applies only to the business name and any associated logo or brand marks, not to your personal likeness or photograph. Use of personal photographs or likenesses requires separate written consent.

16. General Provisions

  • Governing Law: These ToS are governed by the laws of Queensland, Australia.
  • Entire Agreement: These ToS, together with our Privacy Policy, constitute the entire agreement between you and TradesField.
  • Severability: If any provision of these ToS is found to be unenforceable, the remaining provisions will remain in effect.
